By accessing or using Contractor Matchup ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

Contractor Matchup is a lead matching platform that connects homeowners and property owners ("Customers") with qualified contractors ("Contractors"). We:

• Collect project information from Customers
• Match Customers with Contractors based on location, project type, and availability
• Facilitate initial contact between Customers and Contractors
• Provide AI-generated questions to help clarify project requirements

Important: We are a matching service only. We do not perform contracting work, provide estimates, or manage projects. All work arrangements are directly between Customers and Contractors.

3. User Responsibilities

3.1 Customer Responsibilities

As a Customer, you agree to:

• Provide accurate and truthful information about your project
• Respond to contractor inquiries in a timely and professional manner
• Use the Service for legitimate project requests only
• Not submit false, fraudulent, or misleading project requests
• Respect contractors' time and expertise
• Conduct your own due diligence before hiring any contractor (verify licenses, insurance, references)

3.2 Prohibited Uses

You agree NOT to:

• Submit spam, duplicate, or fake project requests
• Use the Service to harass or abuse contractors
• Attempt to circumvent our security measures or rate limits
• Scrape, harvest, or collect contractor information for unauthorized purposes
• Use automated systems or bots to submit project requests
• Violate any applicable local, state, or federal laws

4. No Guarantee of Services

We provide a matching service but cannot guarantee:

• That contractors will contact you or provide estimates
• The quality, timeliness, or accuracy of contractor responses
• The availability of contractors in your area
• That contractors will accept or complete your project
• The quality of work performed by contractors

4.1 Lead Quality Disclaimer (For Contractors)

For contractors receiving leads through our Service, we do not guarantee:

• The quality, accuracy, or completeness of customer-provided information
• That customers will respond to your outreach or accept your estimates
• That projects will move forward or be completed
• The customer's budget, timeline, or readiness to hire
• That the customer has not contacted other contractors or services
• Exclusivity of leads - customers may select multiple contractors and use other services
• That leads will result in paid work or contracts

Important: Leads are provided "as is" based on customer submissions. Customers control which contractors receive their information. We facilitate the connection but do not verify project budgets, timelines, or customer commitment levels. Response rates and conversion rates vary and are not guaranteed.

5. Contractor Relationships

Independent Contractors: All contractors on our platform are independent businesses. We do not employ, supervise, or control contractors. Any work performed, contracts signed, or payments made are solely between you and the contractor.

Verification: You are responsible for verifying:

• Contractor licensing and certifications
• Insurance coverage (general liability, workers' compensation)
• References and past work quality
• Contract terms, pricing, and payment schedules
• Permits and compliance with local building codes

6. Disclaimers and Limitations of Liability

6.1 Service "As Is"

Our Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTOR MATCHUP SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damage to property or personal injury arising from contractor work
• Contractor negligence, misconduct, or breach of contract
• Disputes between Customers and Contractors
• Quality or completion of contractor work
• Any claims exceeding $100 USD

6.3 Indemnification

You agree to indemnify and hold harmless Contractor Matchup from any claims, damages, losses, or expenses arising from your use of the Service, your project requests, or your interactions with contractors.

7. Data and Privacy

Your use of our Service is also governed by our Privacy Policy. By using the Service, you consent to:

• Our collection and use of your information as described in the Privacy Policy
• Sharing your contact information and project details with contractors you select
• Receiving communications from selected contractors

8. Rate Limiting and Abuse Prevention

To prevent abuse and ensure fair access, we implement rate limiting. You are currently limited to 5 project submissions per hour. Excessive or abusive use may result in temporary or permanent suspension of access to our Service.

9. Intellectual Property

All content, features, and functionality of Contractor Matchup, including but not limited to text, graphics, logos, software, and AI-generated questions, are owned by Contractor Matchup and protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works without our express written permission.

10. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
